AGREEMENT effective as of this 6th day of August 2012, between Eaton Vance Municipals Trust II, a Massachusetts business trust (the “Trust”) on behalf of its series listed on Appendix A (each referred to herein as the “Fund”) and Eaton Vance Management, a Massachusetts business trust (the “Administrator”).

DISTRIBUTION AGREEMENT effective as of May 1, 2013 between each Trust identified on Schedule A (each referred to herein as the “Trust”) on behalf of each of its series listed on Schedule A (each referred to herein as the “Fund”), and Eaton Vance Distributors, Inc., a Massachusetts corporation (the “Principal Underwriter).” As described on Schedule A, the Fund may offer multiple classes of shares, including Class A, Advisers Class, Class B, Class C, Class I, Class R, Institutional Class and Investor Class (the “Classes”).
