This Agreement and Plan of Reorganization ("Agreement") is made as of this 27th day of October, 2009 by and between Dimensional Emerging Markets Value Fund Inc., a Maryland corporation (the "Company"), and Dimensional Emerging Markets Value Fund, a Delaware statutory trust (the "DE Fund") (the Company and the DE Fund are hereinafter collectively referred to as the "parties").
