Sub-Advisory Agreement (this "Agreement") entered into as of the 1st day of January, 2012 by and between Simple Alternatives, LLC, a Delaware limited liability company (the "Adviser"), and Maerisland Capital, LLC, a Delaware limited liability company (the "Sub-Adviser"). WHEREAS, the Adviser has entered into an Investment Advisory Agreement dated September 30, 2010 (the "Advisory Agreement") with The RBB Fund, Inc.
