AMENDED AND RESTATED INVESTMENT MANAGEMENT AGREEMENT THIS AMENDED AND RESTATED INVESTMENT MANAGEMENT AGREEMENT (the "Agreement"), dated as of December 8, 2014, is made and entered into by and between BlackRock Enhanced Equity Dividend Trust (the "Trust"), a Delaware statutory trust, and BlackRock Advisors, LLC (the "Advisor"), a Delaware limited liability company. AGREEMENT AND PLAN OF REORGANIZATION September 17, 2014 In order to consummate the reorganization contemplated herein (the "Reorganization") and in consideration of the promises and the covenants and agreements hereinafter set forth, and intending to be legally bound, BlackRock Dividend Income Trust, a registered diversified closed-end investment company, File No. 811-21522, (the "Target Fund") and BlackRock Enhanced Equity Dividend Trust, a registered diversified closed-end investment company, File No. 811-21784 (the "Acquiring Fund" and together with the Target Fund, the "Funds"), each hereby agree as follows: 1. REPRESENTATIONS AND WARRANTIES OF THE ACQUIRING FUND.
