THIS AGREEMENT AND PLAN OF REORGANIZATION (the "Agreement") is made as of September 27, 2016, by and between The RBB Fund, Inc., a Maryland corporation (the "RBB Fund"), on behalf of its separate investment series listed on Schedule A (the "Acquiring Funds") and The Motley Fool Funds Trust, a Delaware statutory trust ("MFFT"), on behalf of its separate investment series listed on Schedule A (the "Acquired Funds" and, together with the Acquiring Funds, the "Funds"). Motley Fool Asset management, LLC, the investment adviser to the Acquiring Funds and the Acquired Funds, is a party to this Agreement solely for purposes of paragraph 8.2.
