THIS AGREEMENT, made and entered into as of this 1st day of May, 2002, among ING RELIASTAR LIFE INSURANCE COMPANY (the "Company"), a life insurance company organized under the laws of Minnesota, on its own behalf and on behalf of each separate account of the Company as set forth on Schedule A hereto, as such Schedule may be amended from time to time (each such account hereinafter referred to as the "Account"), ING VARIABLE PORTFOLIOS, INC. (ING VPI), an open-end management investment company and corporation organized under the laws of Maryland, and ING FUNDS DISTRIBUTOR, INC. (the "Distributor"), a corporation organized under the laws of the State of Delaware.
