This Amendment Number One (the “Amendment”) to the employment agreement (the “Employment Agreement”) between Kearny Bank (the “Bank”) and Keith Suchodolski (“Executive”) is made effective as of July 1, 2024. Capitalized terms which are not defined herein shall have the same meaning as set forth in the Employment Agreement.

This Change in Control Agreement (the “Agreement”) is made effective as of the 1st day of July, 2024 (the “Effective Date”), by and between Kearny Bank (the “Bank”) and Sean Byrnes (the “Executive”). Any reference to the Company hereunder shall mean Kearny Financial Corp., (together with its successors and assigns), a Maryland corporation and the stock holding company of the Bank.
