THIS AGREEMENT is made and entered into on this 1st day of May, 2003 between SECURITY MANAGEMENT COMPANY, LLC (the "Adviser"), a Kansas limited liability company, registered under the Investment Advisers Act of 1940, as amended (the "Investment Advisers Act"), and NORTHERN TRUST INVESTMENTS, INC. (the "Subadviser"), an Illinois corporation and indirectly wholly-owned subsidiary of Northern Trust Corporation.
