AGREEMENT, dated as of November 19, 2002 between Variable Insurance Funds, a business trust organized and existing under the laws of the Commonwealth of Massachusetts having its principal office and place of business at 3435 Stelzer Road, Columbus, Ohio 43219 (the "Fund") and The Bank of New York, a New York corporation authorized to do a banking business having its principal office and place of business at One Wall Street, New York, New York 10286 ("Custodian").

Agreement made as of the _____ day of February, 2003, between BB&T Variable Insurance Funds, (the "Trust"), a Massachusetts business trust, having its principal office and place of business at 3435 Stelzer Road, Columbus, Ohio 43219 and US Bank N.A. (the "Custodian"), a national banking association having its principal office and place of business at US Bank Center, 425 Walnut Street, Cincinnati, Ohio 45202, which Agreement provides for the furnishing of custodian services to the Fund.
