The undersigned subscriber (the “Subscriber”) understands that (i) Muzinich BDC, Inc., a Delaware corporation (the “Company”), has been formed for the purpose of generating current income and, to a lesser extent, capital appreciation through investments in secured debt, including first lien, second lien and unitranche debt, as well as unsecured debt, including mezzanine debt and, to a lesser extent, in equity instruments of private companies, as described in the Confidential Offering Memorandum of the Company, as such document may be amended, amended and restated or supplemented from time to time (together with any appendices and supplements thereto, the “Offering Document”).
