This Restricted Share Unit Agreement (this “Agreement”) is made and entered into as of July 22, 2024 (the “Grant Date”), by and between GSE Systems, Inc., a Delaware corporation, (the “Company”) and Ravi Khanna (the “Grantee”).

This Employment Agreement, dated as of July 22, 2024 (this “Agreement”), by and between GSE Systems, Inc., a Delaware corporation with its principal executive offices at 6940 Columbia Gateway Dr #470, Columbia, MD 21046 (the “Company”), and Ravi Khanna, a resident of Washington, D.C. (“Executive”). The date on which the Executive executes this Agreement shall be referred to as the effective date (the “Effective Date”). The Company and the Executive desire that the Executive continue to be employed by the Company and have entered into this Employment Agreement to set forth the terms and conditions on which the Executive shall be employed by the Company. The Agreement amends and restates any prior agreements or arrangements pertaining to Executive’s employment with the Company.
