AGREEMENT AND PLAN OF MERGER, dated as of December 11, 2004 (this “Agreement”), by and among IVANHOE ENERGY INC., a Yukon corporation (“Parent”), IVANHOE MERGER SUB, INC., a Delaware corporation and a wholly-owned subsidiary of Parent (“Merger Sub”), and ENSYN GROUP, INC., a Delaware corporation (the “Company”).
