This STOCK SALE AGREEMENT is made as of August 3, 2011 (this “Agreement”), by and among MEMC Holdings Corporation, a Delaware corporation (“Purchaser”); solely for purposes of Article I, Section 2.01, Section 2.07, Section 2.08, Section 6.15, Section 6.16, Section 10.02, Article XI and Article XII, MEMC Electronic Materials, Inc., a Delaware corporation (“MEMC”); Fotowatio Renewable Ventures, S.L., a Sociedad Limitada organized under the laws of the Kingdom of Spain (“Seller”); and solely for purposes of Article I, Article V, Section 2.01, Section 3.02, Section 6.06, Section 6.12, Section 6.16(c), Section 10.02, Article XI and Article XII, Fotowatio S.L., a Sociedad Limitada organized under the laws of the Kingdom of Spain (“Seller's Parent”).
