This LETTER OF CREDIT FACILITY AGREEMENT (as amended, restated, modified and/or supplemented from time to time, this "Agreement") is entered into as of November 3, 2020 between ARCH REINSURANCE LTD., an exempted company limited by shares incorporated under the laws of Bermuda and dual licensed as a Class 4 and Class C insurer under the Insurance Act (the "Borrower"), the lenders who are party to this Agreement and the lenders who may become a party to this Agreement pursuant to the terms hereof, as Lenders, and LLOYDS BANK CORPORATE MARKETS PLC, as Administrative Agent for the Lenders.
