Reference is made to the Investment Agreement, dated as of June 11, 2008 (the “Investment Agreement”), between United Energy Group Limited, an exempted company with limited liability existing under the laws of Bermuda (“Purchaser”) and Transmeridian Exploration Incorporated, a Delaware corporation (the “Company”). Except as otherwise defined herein, terms defined in the Investment Agreement are used herein as therein defined.
