Reference is made to the Second Amended and Restated Credit and Security Agreement dated as of February 7, 2017 (as amended, supplemented or otherwise modified from time to time, the “Credit Agreement”) among Boston Scientific Funding LLC, a Delaware limited liability company (the “Borrower”), Boston Scientific Corporation, a Delaware corporation, as initial Servicer, the Lenders and Co-Agents party thereto from time to time and Wells Fargo Bank, National Association, as Administrative Agent. Capitalized terms used and not otherwise defined herein shall have the meanings attributed thereto in the Agreement.
