The following Agreement sets out the terms under which Hastings Capital Group, LLC, acting as the principal underwriter (the “Principal Underwriter”) to SkyBridge Multi-Adviser Hedge Fund Portfolios LLC, a limited liability company organized under the laws of the State of Delaware (the “Fund”), desires to provide for the sale of the Fund’s Shares (as defined below). Each of the Principal Underwriter and the Placement Agent acknowledge that the Fund and the Adviser shall be third-party beneficiaries to this Agreement and shall receive the benefits contemplated hereby.
