Reference is made to the arrangement agreement dated as of the date hereof (the “Arrangement Agreement”) between SNDL Inc. (“Purchaser”) and Nova Cannabis Inc. (the “Company”), which contemplates a plan of arrangement involving Purchaser, the Company and the shareholders of the Company pursuant to section 193 of the Business Corporations Act (Alberta) (the “Arrangement”).
