This Share Purchase Agreement (this “Agreement”), dated as of December 6, 2024 (the “Effective Date”), is entered into by and among SSR US Holdings Inc., a Nevada corporation (“Purchaser”), SSR Mining Inc., a corporation incorporated under the laws of the Province of British Columbia (“Guarantor”), and Newmont Corporation, a Delaware corporation (“Seller”). Purchaser, Seller and the Guarantor sometimes are referred to in this Agreement collectively as the “Parties” and each individually as a “Party.”
