Reference is made to the Second Amended and Restated Investment Advisory Agreement dated July 1, 2016 (the “Agreement”) by and between The Royce Fund (the “Fund”), on behalf of Royce Dividend Value Fund (the “Series”), and Royce & Associates, LP (the “Adviser”).
