THIS REGISTRATION RIGHTS AGREEMENT, dated as of March 30, 2017 (this “Agreement”), by and between MR Argent Advisor LLC (“Mantle Ridge”), on behalf of itself and its affiliated funds (such funds, together with Mantle Ridge, collectively, the “Mantle Ridge Group”), and CSX Corporation, a Virginia corporation (the “Company”).
