This SHARE PURCHASE AGREEMENT (the “Agreement”) is entered into on April 22, 2022 (the “Effective Date”), by and between NICOLAU CARVALHO ESTEVES, ROSÂNGELA DE OLIVEIRA TAVARES ESTEVES and NRE CAPITAL VENTURES LTD, a Brazilian corporation (each, a “Selling Shareholder” and, collectively, the “Selling Shareholders”), and ERSTE WV GÜTERSLOH GMBH, a corporation organized and existing under the laws of Germany (the “Purchaser”).
