This VOTING AGREEMENT (this “Agreement”), dated as of October 29, 2024, is entered into by and between LHX Intermediate, LLC a Delaware limited liability company (“WOGA”), Zeo Energy Corp, a Delaware corporation (the “Corporation”), and the undersigned stockholders of the Corporation set forth on the signature pages hereto (each a “Stockholder” and together the “Stockholders”).
