This TERMINATION AND AMENDMENT OF INTERCOMPANY AGREEMENTS AGREEMENT (this “Agreement”), dated as of July 23, 2002, by and among Synopsys, Inc., a Delaware corporation (“Synopsys”), inSilicon Corporation, a Delaware corporation (“inSilicon”) and Phoenix Technologies Ltd., a Delaware corporation (“Phoenix”).
