This is to confirm that the management fee for the series of the Trust known as CIGNA Variable Products S&P 500 Index Fund (f/k/a Companion Fund) (the "Fund") has been reduced effective January 1, 1996 from 0.35% of the average daily net asset value of the Fund to 0.25% of the average daily net asset value of the Fund. All other terms and conditions of the Agreement remain in full force and effect.
