This Note arises out of that certain Second Amended and Restated Revolving Credit and Security Agreement dated as of May 16, 2002 among the Borrowers, Wachovia Bank, National Association, formerly known as First Union National Bank, as Agent and the Banks (as amended, the "Agreement") and is subject in all respects to the terms of the Agreement. This Note is one of the "Revolving Credit Notes" as defined in the Agreement. [This Note amends, restates and supersedes that certain Revolving Credit Note in the amount of $__________ dated __________ ___, _____ from certain of the Borrowers and their Affiliates to the Bank.
