This note is one of the Notes referred to in the Credit Agreement dated as of July 31, 1998 among Sybron Chemicals Inc., certain financial institutions, Mellon Bank N.A., as Administrative Agent, DLJ Capital Funding, Inc., as Syndication Agent, and Morgan Guaranty Trust Company of New York, as Documentation Agent (as the same may be amended from time to time, the "Credit Agreement").
