AGREEMENT made this 4th day of November, 2005, by and among Sandell Asset Management Corp., 40 West 57th Street, New York, NY 10019 (“Sandell”), and Trian Fund Management, L.P., 280 Park Avenue, 41st Floor, New York, NY 10017 (“Trian”), with respect to Wendy’s International, Inc., an Ohio corporation (the “Company”).

In accordance with Rule 13d-1(f) under the Securities Exchange Act of 1934, as amended, the persons named below agree to the joint filing on behalf of each of them of a statement on Schedule 13D (including amendments thereto) with respect to the Common Shares of Wendy’s International, Inc. and further agree that this Joint Filing Agreement be included as an Exhibit to such joint filings.
