In connection with the engagement by NovaDel Pharma Inc. (the “Company”) of Griffin Securities, Inc. (“Griffin”) and Paramount BioCapital, Inc. as our co-placement agents (collectively, the “Placement Agents”) pursuant to a Placement Agent Agreement (the “Placement Agreement”) dated as of March 15, 2006, by and among the Company and the Placement Agents in connection with a transaction to raise capital through the issuance of up to 8,092,796 shares of common stock of the Company (the “Offering”), the Company hereby agrees to indemnify and hold harmless Griffin and its affiliates, and the respective controlling persons, directors, officers, shareholders, agents and employees of any of the foregoing (collectively the “Indemnified Persons”), from and against any and all claims, actions, suits, proceedings (including those of stockholders), damages, liabilities and expenses incurred by any of them (including the reasonable fees and expenses of counsel) (collectively, a “Claim”), insofar as
