The Borrowers, the Existing Lenders, the Guarantor, The Bank of New York, as syndication agent, Wells Fargo Bank, National Association, as documentation agent, and Union Bank of California, N.A., as administrative agent, previously entered into that certain Credit Agreement, dated as of April 15, 2005 (as amended, supplemented or otherwise modified from time to time prior to the date hereof, the “Existing Credit Agreement”).
