INDENTURE dated as of April 11, 2007 (as amended or otherwise supplemented from time to time, this “Indenture”), between MP ENVIRONMENTAL FUNDING LLC, a Delaware limited liability company (the “Issuer”), and U.S. Bank National Association, a national banking association, in its capacity as trustee for the benefit of the Holders of the Environmental Control Bonds, itself and each Swap Counterparty, if any (in its collective capacities, the “Indenture Trustee”).
