This amended and restated license agreement (the “Agreement”) is made on the 25th day of October, 2007 effective as of the 26th day of September, 2006, by and between Argyll Biotechnologies, LLC, a closely-held Delaware limited liability company having a principal office at 4225 Executive Square, Suite 260, La Jolla, California 92037 (“Argyll Biotech”), and Immunosyn Corporation, a Delaware corporation having a principal office at 4225 Executive Square, Suite 260, La Jolla, California 92037 (“Immunosyn”), either or both of which may be referred to as a Party or the Parties to this Agreement.
