CREDIT AGREEMENT This Credit Agreement (this "Agreement"), dated as of April 30, 2003, is between HEADS & THREADS INTERNATIONAL LLC, a Delaware limited liability company (the "Borrower") and LASALLE BANK NATIONAL ASSOCIATION (the "Lender"). The parties hereto agree as follows: ARTICLE I DEFINITIONS 1.1 Definitions. As used in this Agreement, the following terms shall have the meanings herein specified unless the context otherwise requires: "Acceptance Credit Agreement" is defined in Section 2.3.4 and Exhibit I. "Account" means any right to payment for goods sold or for services rendered which is not evidenced by an instrument or chattel paper, whether or not it has been earned by performance or delivery. "Account Debtor" has the meaning stated therefor in the Security Agreement.
