This AMENDED AND RESTATED LIMITED LIABILITY COMPANY AGREEMENT (as amended from time to time, this “Agreement”) is entered into as of July 10, 2003 by CCH I, LLC, a Delaware limited liability company (“Charter”), as the sole member of CCH II, LLC, a Delaware limited liability company (the “Company”).
