Reference is hereby made to that certain Underwriting Agreement, dated as of the date hereof, between Platinum Underwriters Holdings, Ltd., a Bermuda company (the “Company”) and Merrill Lynch & Co. and Merrill Lynch, Pierce, Fenner & Smith Incorporated (“Merrill Lynch” or the “Underwriter”). Platinum Underwriters Holdings, Ltd., a Bermuda company (the “Company”), proposes, subject to the terms and conditions stated herein, to issue and sell to Merrill Lynch & Co., Merrill Lynch, Pierce, Fenner & Smith Incorporated (“Merrill Lynch” or the “Underwriter”) a number of shares of Common Shares, par value $.01 per share, of the Company equal to $163,500,000 divided by the Public Offer Price (as defined below) (the “Shares”).
