STOCK PURCHASE AGREEMENT, dated as of August 21, 2005 (this “Agreement”), by and among KNOWLES ELECTRONICS HOLDINGS, INC., a Delaware corporation (“Knowles”), KEY ACQUISITION, L.L.C., a Delaware limited liability company (“Key”), in its capacity as Seller and in its capacity as Sellers’ Representative (as defined herein), and the individuals and other entities listed on the signature pages hereto and Schedule A and Schedule B (such individuals and entities together with Key, the “Sellers”), DOVER CORPORATION (“Parent”), a Delaware corporation and DOVER ELECTRONICS, INC., a Delaware corporation and Subsidiary of Parent (the “Buyer”).
