AGREEMENT AND PLAN OF MERGER dated as of September 30, 2005 (herein, together with the Schedules and Exhibits attached hereto, referred to as this “Agreement”) by and among iLumin Software Services, Inc., a Delaware corporation (the “Company”), the Stockholders listed on the signature pages of this Agreement (collectively, the “Indemnifying Stockholders”), Jonathan Perl as the Stockholders’ Representative, Computer Associates International, Inc., a Delaware corporation (the “Buyer”) and Lost Ark Acquisition, Inc., a Delaware corporation (“Newco”). Capitalized terms used in this Agreement are defined or otherwise referenced in Section 11.1.
