EMPLOYMENT AGREEMENT dated as of October 21, 2005, by and between Cogdell Spencer Inc., a Maryland corporation (the “REIT”), Cogdell Spencer LP, a Delaware Limited Partnership (the “Operating Partnership”) each with its principal place of business at 4401 Barclay Downs Drive, Suite 300, Charlotte, North Carolina 28209-4670, and Frank C. Spencer, residing at the address set forth on the signature page hereof (the “Executive”).
