THIS VESSEL CONSTRUCTION CONTRACT (the “Contract”) entered into as of this twenty-third of August, 2005, by and between VT HALTER MARINE, INC. (VTHM), a Delaware corporation (hereinafter called “Builder”), and VESSEL MANAGEMENT SERVICES, INC., a Delaware corporation (hereinafter called “Owner”).

THIS AMENDMENT NO. 1 TO ASSET PURCHASE AGREEMENT (this “Amendment”) is made and entered into as of September 6, 2005 by and between CROWLEY MARINE SERVICES, INC., a Delaware corporation (“Purchaser”), and YUTANA BARGE LINES, LLC, a Delaware limited liability company (“Seller”). Purchaser and Seller are sometimes referred to herein collectively as the “Parties” and individually as a “Party.”
