THIS AGREEMENT, entered into as of the Grant Date (as defined in Section 1), by and between the Participant and Harris Interactive Inc. (the “Company”) This Agreement is made in connection with the Employment Agreement between the Company and the Participant effective March 6, 2006, as the same may be modified, extended, restated, or replaced from time to time (the “Employment Agreement”).
