THIS EMPLOYMENT AGREEMENT (the “Agreement”), as amended and restated, is entered into by and between CNL HOTELS & RESORTS, INC., a Maryland corporation formerly known as CNL Hospitality Properties, Inc. (hereinafter referred to as the “Company”), and JOHN A. GRISWOLD (hereinafter referred to as the “Executive”) and is effective as of the Effective Date hereinbelow defined at Section 7.20.
