THIS AMENDED AND RESTATED CREDIT AGREEMENT, dated as of September 13, 2006, is made among PLATINUM UNDERWRITERS HOLDINGS, LTD., an exempted company incorporated in Bermuda (“Platinum Holdings”), the Subsidiary Credit Parties (as hereinafter defined), the Lenders (as hereinafter defined), BAYERISCHE HYPO-UND VEREINSBANK AG, CITIBANK, N.A., HSBC BANK USA, NATIONAL ASSOCIATION and ING BANK N.V., LONDON BRANCH, as Documentation Agents (in such capacity, the “Documentation Agents”) and WACHOVIA BANK, NATIONAL ASSOCIATION (“Wachovia”), as Administrative Agent (as hereinafter defined) for the Lenders.
