THIS CONFIDENTIAL DISCLOSURE AGREEMENT (the “Agreement”) is made and entered into as of the 18th day of October, 2005 (the “Effective Date”), by and between PRAECIS PHARMACEUTICALS INCORPORATED, a Delaware corporation having offices at 830 Winter Street, Waltham, MA 02451(“Praecis”) and SmithKline Beecham Corporation d/b/a GlaxoSmithKline, a Pennsylvania corporation having offices at 709 Swedeland Road, King of Prussia, PA 19406 (“GSK”).

You have expressed an interest in engaging in discussions with PRAECIS PHARMACEUTICALS INCORPORATED (the “Company”) that might lead to a possible transaction (a “Transaction”) between SmithKline Beecham Corporation, doing business as GlaxoSmithKline (“GSK”) or your affiliates and the Company. In this regard, you may wish that the Company, and the Company may deem it appropriate to, provide you with certain information.
