This AGREEMENT AND PLAN OF MERGER (this “Agreement”), dated as of June 29, 2007 is by and between MetLife Insurance Company of Connecticut, an insurance company organized and existing under the laws of the State of Connecticut (“MICC”), and MetLife Life and Annuity Company of Connecticut, an insurance company organized and existing under the laws of the State of Connecticut (“MLAC”). MICC and MLAC are sometimes referred to in this Agreement individually as a “Constituent Corporation” and collectively as the “Constituent Corporations.”
