(together with its subsidiaries, divisions, affiliates, predecessors and successors, the “Company”) and confirms the arrangements relating to your separation from the Company. The material terms and conditions of this letter agreement have been approved by the Board of Directors of the Company (the “Board’) upon recommendation by the Compensation Committee of the Board.
