INTELLECTUAL PROPERTY PURCHASE AGREEMENT, dated as of April 3, 2008 (this “Agreement”), by and among Footstar Corporation, a Texas corporation (“Footstar” or the “Seller”), Sears Brands LLC, an Illinois limited liability company (the “Purchaser”), and Sears Holdings Corporation, a Delaware corporation (“SHC”).
