The Chubb Corporation, a New Jersey corporation (the “Company”), proposes to sell to the several underwriters named in Schedule I hereto (the “Underwriters”), for whom the Underwriters named above are acting as Representatives, $600,000,000 principal amount of its 5.75% Senior Notes due 2018 (the “2018 Senior Notes”) and $600,000,000 principal amount of its 6.50% Senior Notes due 2038 (the “2038 Senior Notes”) identified in Schedule II hereto (collectively, the “Securities”), to be issued under an indenture dated as of October 25, 1989 (as supplemented, the “Indenture”), between the Company and The Bank of New York Trust Company, N.A.
