ASSIGNMENT NO. 16 OF RECEIVABLES IN ADDITIONAL ACCOUNTS, dated as of May 16, 2008 (this “Assignment”), by and between (i) AMERICAN EXPRESS RECEIVABLES FINANCING CORPORATION III LLC, a Delaware limited liability company (“RFC III”), as transferor (the “Transferor”), and (ii) THE BANK OF NEW YORK, a New York banking corporation, not in its individual capacity but solely as trustee (the “Trustee”), pursuant to the Agreement referred to below.
