THIS DEFINITIVE AGREEMENT, dated as of April 13, 2007 (this “Agreement”), has been entered into by and among POLO RALPH LAUREN CORPORATION, a Delaware corporation (“PRL”), PRL JAPAN KABUSHIKI KAISHA, a Japanese joint stock company and a wholly-owned subsidiary of PRL (the “Bidder”), ONWARD KASHIYAMA CO., LTD., a Japanese joint stock company (“OK”) and IMPACT 21 CO., LTD., a Japanese joint stock company and a consolidated subsidiary of OK (“Impact 21”).
