This GUARANTEE AGREEMENT (the “Guarantee”), dated as of July 2, 2008, is executed and delivered by Southwest Bancorp, Inc., a bank holding company incorporated in the State of Oklahoma (the “Guarantor”), and U.S. Bank National Association, a national banking association, as trustee (the “Guarantee Trustee”), for the benefit of the Holders (as defined herein) from time to time of the Preferred Securities (as defined herein) of Southwest Capital Trust II, a Delaware statutory trust (the “Issuer”).
